predictiveIT Gateway — End User License Agreement

Applies to: the predictiveIT Gateway (the “App”)

This End User License Agreement (“Agreement”) governs your access to and use of the App. By accessing the App you agree to these terms. If you do not agree, do not use the App.

1. Scope and users

The App is licensed for the exclusive internal use of predictiveIT employees, contractors, and expressly authorized service accounts. The App is not a product offered to clients or the public. No client of predictiveIT receives access to the App itself; client-relevant outputs (reports, analyses, communications) are delivered through predictiveIT’s normal service channels governed by the Master Services Agreement.

2. License grant

Subject to compliance with this Agreement, predictiveIT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely to perform your assigned duties on behalf of predictiveIT. All rights not expressly granted are reserved.

3. Acceptable use

You will:

• Use the App only for legitimate predictiveIT business purposes.
• Authenticate with your assigned individual credentials; not share, sublicense, or transfer credentials to any other person.
• Access only the data your role requires; not attempt to escalate privileges or circumvent role-based access controls.
• Report any suspected security incident, credential exposure, or unauthorized access promptly to info@predictiveIT.com.

You will not:

• Use the App to access, extract, or export data belonging to predictiveIT clients, employees, or vendors for any purpose outside your authorized duties.
• Automate or script access in a manner that exceeds normal operational needs (e.g., bulk scraping of upstream systems).
• Attempt to reverse engineer, decompile, or modify the App outside official development processes.
• Use the App in violation of any law, regulation, contractual obligation, or third-party terms (including the Intuit Developer Terms of Service governing our QuickBooks Online access).

4. Third-party services

The App integrates with third-party services under agreements between predictiveIT and each provider. Your use of the App may result in data being retrieved from these services, including but not limited to:

• Intuit QuickBooks Online — financial records (customers, invoices, bills, payments, reports)
• Autotask (Datto) — service tickets, contracts, time entries, opportunities
• IT Glue — organization documentation, configuration items (redacted for passwords/secrets)
• Microsoft Entra ID — identity and access for user authentication

Your use of the App does not create any direct relationship between you and these third parties. All access is performed under predictiveIT’s authorized integrations. If predictiveIT loses authorization to any upstream service, the corresponding App functionality will be disabled without notice.

5. Data handling

See the predictiveIT Gateway Privacy Policy for details on how the App accesses, transmits, stores, and protects data.

6. Confidentiality

All data accessed through the App is confidential business information of predictiveIT and its clients. You will:

• Treat all such data as confidential;
• Not disclose it to any party outside predictiveIT without written authorization;
• Delete or destroy locally-cached copies promptly when no longer needed for your assigned task;
• Comply with any additional confidentiality obligations in your employment agreement, contractor agreement, or the client’s Master Services Agreement.

7. Ownership

The App and all associated intellectual property, including software code, configurations, models, documentation, and derived data products, are the sole property of predictiveIT. This Agreement grants no ownership rights.

8. Availability and modifications

predictiveIT may modify, suspend, or discontinue the App at any time without notice. No service level is guaranteed. predictiveIT may update this Agreement at any time; continued use after an update constitutes acceptance.

9. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. predictiveIT DOES NOT WARRANT THAT THE APP OR ANY DATA RETURNED BY IT WILL BE ACCURATE, COMPLETE, OR ERROR-FREE, AND YOU SHOULD INDEPENDENTLY VERIFY MATERIAL DECISIONS BEFORE ACTING ON APP OUTPUT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, predictiveIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. TOTAL LIABILITY FOR ANY DIRECT DAMAGES SHALL NOT EXCEED FIFTY DOLLARS (US$50).

11. Termination

predictiveIT may terminate your access to the App at any time for any reason, including violation of this Agreement, end of employment or engagement, or business necessity. Upon termination, you must cease use of the App and destroy or return any locally-cached data.

12. Governing law

This Agreement is governed by the laws of the State of Florida, United States of America, without regard to conflict-of-law principles. The exclusive jurisdiction and venue for any dispute is the state and federal courts located in Hillsborough County, Florida.
